ComplianceVideo Partner & Referral Program Terms
These Partner Program Terms describe the rules governing participation in the ComplianceVideo Partner & Referral Program. By submitting a Partner Application and affirmatively agreeing to these terms, the applicant acknowledges that they have reviewed and accepted the applicable Partner Program Terms. Participation remains subject to application review and approval by ComplianceVideo. Submitting an application does not guarantee acceptance.
1. Program Eligibility
Participation in the ComplianceVideo Partner & Referral Program is subject to approval by ComplianceVideo. Applicants must provide accurate and complete information. ComplianceVideo may approve, decline, suspend, or terminate participation in accordance with these Terms and applicable law.
Applicants must have legal authority to enter into the Partner Program Terms on their own behalf or on behalf of the organization they represent. Submitting an application does not create an employment, agency, franchise, joint venture, fiduciary, or other relationship beyond the independent referral/partner relationship established by the applicable agreement.
2. Partner Types
ComplianceVideo currently provides the following partnership structures:
Referral Partner
Approved Referral Partners may earn 15% of eligible collected project revenue from qualifying accepted referrals. Referral Partners primarily identify appropriate opportunities and make introductions.
Strategic Partner
Approved Strategic Partners may earn 20% of eligible collected project revenue from qualifying accepted referrals. Strategic Partner status is granted at ComplianceVideo's discretion and generally reflects deeper involvement in opportunity development, client introductions, discovery, consulting relationships, or ongoing business development. Applying for Strategic Partner status does not guarantee approval at that level.
Agency / White-Label Partner
Agency and White-Label Partners operate under separately negotiated wholesale pricing and a separate written agreement. Potential margins discussed in promotional materials are illustrative only and are not guaranteed. Actual economics depend on project scope, volume, fulfillment requirements, support requirements, partner responsibilities, and negotiated pricing.
3. Referral Registration
To qualify for potential commission, a partner must properly register a prospective client before or at the time of introduction unless ComplianceVideo approves otherwise in writing. A valid registration should include available information such as:
- prospective company name
- primary contact
- contact information
- partner information
- date submitted
- description of the opportunity
Submitting a referral does not automatically make the referral eligible for commission. ComplianceVideo must review and accept the referral.
4. Accepted Referrals
ComplianceVideo may classify submitted referrals as:
- Submitted
- Accepted
- More Information Needed
- Already Existing
- Duplicate
- Not Qualified
- Closed
Only an Accepted Referral may qualify for commission. ComplianceVideo may consider CRM records, prior communications, existing client relationships, active sales opportunities, previous referrals, and other reasonable records when determining referral eligibility.
5. Existing Clients and Opportunities
A referral generally will not qualify as a new partner-generated opportunity when the prospective client:
- is already a ComplianceVideo client
- has an active ComplianceVideo opportunity
- is already in an active sales process with ComplianceVideo
- was previously registered by another partner whose referral remains active
- was already engaged in substantive discussions with ComplianceVideo before the partner's registration
ComplianceVideo will make reasonable referral-attribution determinations based on its records.
6. Duplicate Referrals
If multiple partners submit the same organization, ComplianceVideo may consider:
- registration timestamp
- documented introduction
- existing CRM history
- active opportunity status
- previous partner activity
- substantive involvement in creating the opportunity
Generally, the earliest valid accepted referral will receive attribution, subject to these Terms and documented circumstances. ComplianceVideo will use reasonable business judgment to resolve attribution disputes.
7. Referral Protection Period
An accepted referral is generally protected for 180 days from acceptance, provided the opportunity remains legitimate and reasonably active. Referral protection does not give a partner permanent ownership of a company or organization.
If an opportunity remains actively progressing beyond the initial protection period, ComplianceVideo may extend the referral registration. ComplianceVideo may close an inactive referral where reasonable efforts have not produced meaningful activity.
8. How Commissions Are Calculated
Partner commissions are calculated from Eligible Collected Revenue. Eligible Collected Revenue means qualifying revenue actually received and retained by ComplianceVideo from an eligible referred client, subject to these Terms.
Commissions are NOT calculated merely from:
- proposal amount
- quoted amount
- unsigned project value
- signed contract value before payment
- unpaid invoices
- cancelled services
9. Noncommissionable Amounts
Eligible Collected Revenue may exclude:
- sales and similar taxes
- government fees
- refunds
- credits
- chargebacks
- disputed payments
- payment reversals
- reimbursed expenses
- third-party pass-through costs
- specifically excluded products or services
- amounts not actually collected
- other exclusions established in an applicable written agreement
10. Referral Partner Commission
Approved Referral Partners are eligible to receive 15% of Eligible Collected Project Revenue for qualifying accepted referrals, subject to these Terms.
Example: Eligible collected project revenue of $10,000 produces a potential Referral Partner commission of $1,500. Examples are illustrative and are not earnings guarantees.
11. Strategic Partner Commission
Approved Strategic Partners are eligible to receive 20% of Eligible Collected Project Revenue for qualifying accepted referrals, subject to these Terms.
Example: Eligible collected project revenue of $10,000 produces a potential Strategic Partner commission of $2,000. Strategic Partner status requires separate approval by ComplianceVideo.
12. Eligible Recurring Services
Approved Referral and Strategic Partners may earn 10% of Eligible Collected Recurring Revenue for the first 12 months of specifically eligible ongoing services purchased by a qualifying referred client. The 12-month period begins with the client's first eligible recurring-service payment.
Recurring commissions:
- apply only to designated eligible services
- require continued client payment
- are based on revenue actually collected
- stop after the applicable 12-month period
- are not lifetime commissions
- do not automatically apply to every ComplianceVideo product or service
13. Commission Processing and Payment
Approved commissions are generally processed Monthly after applicable eligibility, collection, verification, refund, and administrative requirements have been satisfied.
Partners may be required to provide:
- tax information
- payment information
- identity/business verification
- other information reasonably necessary to process compensation
ComplianceVideo is not responsible for delays caused by missing or inaccurate partner payment information.
14. Refunds, Chargebacks and Payment Reversals
If client revenue associated with a commission is subsequently refunded, reversed, credited, disputed, or charged back, ComplianceVideo may:
- reduce an unpaid commission
- offset the applicable amount against future commissions
- request repayment where appropriate and permitted by the Partner Agreement and applicable law
Partners are compensated on eligible revenue ultimately collected and retained.
15. Pricing and Proposals
Partners are not authorized to establish, modify, negotiate, or guarantee ComplianceVideo pricing unless specifically authorized in writing. Only authorized ComplianceVideo representatives may issue binding:
- proposals
- project pricing
- discounts
- production schedules
- service commitments
- contractual terms
16. Independent Partner Relationship
Partners are independent participants in the Partner Program. Partners are not ComplianceVideo employees. Unless expressly authorized in a separate written agreement, partners are not authorized to:
- sign contracts for ComplianceVideo
- make commitments on behalf of ComplianceVideo
- accept payments for ComplianceVideo
- modify ComplianceVideo terms
- guarantee results
- make regulatory claims
- create warranties
- represent themselves as ComplianceVideo employees or authorized agents
Nothing in these Terms creates a partnership, joint venture, franchise, employment, fiduciary, or agency relationship in the legal sense.
17. Accurate Representation
Partners must represent ComplianceVideo accurately and professionally. Partners may not:
- make false or misleading claims
- misrepresent ComplianceVideo capabilities
- guarantee business results
- guarantee regulatory compliance
- make unauthorized legal claims
- make unauthorized safety claims
- make unauthorized medical or clinical claims
- make unauthorized HR claims
- make unauthorized privacy or regulatory claims
- use deceptive sales practices
- impersonate ComplianceVideo personnel
Partners should use current approved ComplianceVideo materials whenever possible.
18. Professional and Regulatory Disclaimer
ComplianceVideo provides professional video production, training media, training portals, automation, tracking capabilities, communication systems, and AI-supported employee training solutions. ComplianceVideo does not provide legal advice, regulatory certification, safety certification, medical or clinical advice, HR advice, privacy advice, or guarantees of regulatory compliance.
Client materials and training requirements should be reviewed and approved by the client's appropriately qualified legal, HR, safety, compliance, clinical, privacy, operational, or regulatory professionals where appropriate. Partners must not represent ComplianceVideo otherwise.
19. ComplianceVideo Brand and Materials
Approved partners may use authorized ComplianceVideo partner materials according to applicable brand guidelines. Partners may not:
- alter ComplianceVideo logos without authorization
- register confusingly similar domains
- impersonate ComplianceVideo
- create unauthorized advertising
- make misleading claims
- purchase or use misleading brand keywords in a way that creates confusion
- represent themselves as the owner of ComplianceVideo intellectual property
ComplianceVideo may revoke permission to use its branding or materials.
20. Partner Outreach
Partners are responsible for complying with applicable laws and professional rules governing their communications, including where applicable:
- commercial email
- telephone communications
- SMS/text messaging
- privacy
- advertising
- professional solicitation
- consumer protection
Partners may not use deceptive, fraudulent, abusive, or unlawful outreach methods in connection with ComplianceVideo.
21. Referral Relationship Disclosure
Partners are responsible for making disclosures concerning their compensated referral relationship when required by applicable law, regulation, professional ethics rules, contractual obligations, or platform policies. This is particularly important for professionals whose industries impose additional conflict-of-interest or referral-fee requirements.
22. Confidentiality
Partners must protect non-public confidential information received through the Partner Program. Confidential information may include:
- client information
- prospect information
- pricing information not publicly available
- proposals
- business processes
- internal documents
- technology information
- partner materials designated confidential
- other non-public business information
Confidential information may not be improperly disclosed or used for purposes unrelated to the partnership.
23. Privacy and Prospect Information
Partners should provide prospect information only where they have a lawful basis and appropriate authority to do so. Partner and referral information may be processed by ComplianceVideo for:
- partner administration
- referral tracking
- client communications
- opportunity management
- commission administration
- fraud prevention
- legal/compliance requirements

24. Taxes
Partners are responsible for their own applicable taxes, reporting obligations, business registrations, and other obligations arising from compensation received through the Partner Program. ComplianceVideo may request or issue applicable tax documentation as required by law. These Terms do not provide individualized tax advice.
25. Agency and White-Label Arrangements
Agency and White-Label arrangements require a separate written agreement. The standard Partner Program Terms do not guarantee:
- wholesale pricing
- specific margins
- exclusivity
- territories
- white-label rights
- resale rights
- production capacity
- custom service levels
Those items must be specifically established in writing.
26. Non-Exclusive Program
Unless a separate written agreement states otherwise, participation in the ComplianceVideo Partner Program is non-exclusive. Partners are not granted exclusive:
- industries
- territories
- geographic regions
- customer categories
- client lists
Accepted referral protection applies to specific accepted opportunitiesânot entire markets.
27. Prohibited Conduct
ComplianceVideo may reject referrals, withhold commissions where legally permitted and contractually appropriate, suspend accounts, or terminate participation for conduct including:
- fraudulent referrals
- fabricated opportunities
- self-dealing intended solely to manipulate commissions
- spam
- misrepresentation
- unauthorized promises
- abuse of ComplianceVideo branding
- unlawful conduct
- attempts to manipulate attribution
- intentional duplicate registration
- confidentiality violations
- material violations of these Terms
28. Changes to the Program
ComplianceVideo may modify the Partner Program prospectively, including:
- program structure
- qualification requirements
- commission rates for future referrals
- eligible products/services
- referral procedures
- payment processes
- partner resources
Material changes should be communicated to affected active partners. Changes should not retroactively alter already-earned commissions except where required by law or necessary to correct fraud, error, refund, chargeback, or other circumstances addressed by the applicable agreement. ComplianceVideo maintains version history.
29. Ending Participation
Either ComplianceVideo or the partner may end participation according to the Partner Agreement. Termination does not automatically create entitlement to future commissions. Treatment of accepted active referrals, pending commissions, recurring commissions, refunds, chargebacks, and post-termination payments will be governed by the version of the Partner Agreement applicable to those opportunities.
30. Intellectual Property
ComplianceVideo retains its applicable ownership and rights in trademarks, branding, software, systems, partner materials, demonstrations, website content, proprietary processes, and other ComplianceVideo intellectual property. Participation in the Partner Program does not transfer ownership.
31. No Earnings Guarantee
ComplianceVideo does not guarantee:
- number of referrals
- project value
- conversion rate
- commissions
- recurring revenue
- future income
- agency margins
- financial results
Any examples shown on the Partner Program website are illustrations only. Actual results depend on legitimate referrals, client needs, project scope, client decisions, collected revenue, eligibility, and other factors.
32. Program Records
ComplianceVideo's CRM and administrative records will be used as an important source for determining registration dates, referral status, client payment status, eligible collected revenue, commission status, and partner attribution. Partners should notify ComplianceVideo promptly if they believe program records contain an error.
33. Partner Responsibility
Partners are responsible for:
- maintaining accurate contact information
- maintaining accurate payment information
- reviewing program communications
- using current approved materials
- complying with applicable professional obligations
- promptly reporting suspected errors
- maintaining confidentiality
- complying with these Terms
34. Legal Review Notice
Administrator note: These Partner Program Terms should be reviewed by qualified legal counsel before public launch. Configurable placeholders for Governing Law, Venue, Dispute Resolution, Limitation of Liability, Indemnification, Warranty Disclaimer, Notices, and Contact Information are maintained in the Terms management system and should not be publicly populated until approved by counsel.
